3. Acknowledgement and assignment of rights

DEPOSITOR1 , CENTER and Université Laval are entering into this agreement because they desire to foster advancement and application of scientific knowledge by ensuring broad access and availability of MATERIAL to the global scientific community. 

Therefore, in consideration for the benefits of DEPOSITOR from CENTER’s accessioning and distribution, DEPOSITOR  hereby grants to Université Laval a non-exclusive, royalty-free, perpetual right to accession to the MATERIAL and to distribute the MATERIAL worldwide.  


DEPOSITOR warrants that it has the legal authority or the rights to deposit the MATERIAL and grant the rights conveyed in this agreement. DEPOSITOR retains all rights to, and ownership in MATERIAL in its possession that has not been physically deposited with CENTER.


DEPOSITOR understands that deposited MATERIAL may be subject to an extensive accessioning process, potentially to include evaluation, preservation, optimization, use, modification, derivation and reproduction (collectively referred to hereinafter as “Accessioning”). DEPOSITOR will neither claim ownership of the intellectual property related to Accessioning process nor ownership of the results obtained from the use of the MATERIAL by the purchaser or CENTER. DEPOSITOR and CENTER accept to cooperate to the extent possible in providing information pertaining to the MATERIAL.


DEPOSITOR understands that CENTER will make its best efforts to store the deposited organism in a manner which ensures that it is kept viable and uncontaminated, and that CENTER is not in the obligation for replacing it if it deteriorates following the deposit.

1 DEPOSITOR means the legal entity (organization or person) who claims ownership of the deposit or has rights to MATERIAL.
